1. The agreement
These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent, "you") and BizBot ("we," "us," "our") and govern your access to and use of the BizBot website, dashboard, APIs, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your password and for all activity under your account. Notify us promptly at security@businessbot.us of any unauthorized access.
- You must be at least 18 years old to use the Service.
- One person or legal entity may maintain only one free trial. We reserve the right to consolidate duplicates.
3. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Send spam, unsolicited messages, or messages that violate carrier or platform rules (Twilio, Telnyx, WhatsApp, etc.).
- Send messages on behalf of customers without a legitimate business relationship and prior consent where required by law (TCPA, CAN-SPAM, GDPR, CASL, and similar).
- Misrepresent who you are, impersonate another business, or operate the Service in a way that defrauds your customers.
- Attempt to reverse engineer, decompile, scrape, or interfere with the Service, except as expressly permitted by applicable law.
- Use the Service to develop a competing product, or to benchmark its performance for a competitor.
- Upload or transmit malware, exploits, or content that is unlawful, defamatory, harassing, or infringing.
Violations may result in immediate suspension or termination, without refund.
4. Messaging compliance
BizBot helps you send SMS, WhatsApp, and email messages to your customers. You — not BizBot — are the sender of those messages and remain solely responsible for compliance with all applicable laws, including:
- Obtaining and documenting prior express consent before sending marketing messages.
- Honoring opt-out keywords (STOP, UNSUBSCRIBE, etc.) immediately and across channels.
- Including required identification and opt-out instructions in marketing messages.
- Following carrier policies (10DLC registration in the US, toll-free verification, WhatsApp Business policy, etc.).
BizBot provides tools to support compliance — including automatic STOP handling and consent tracking — but the legal responsibility rests with you.
5. Billing, trials & refunds
- Subscription tiers. The Service is offered on monthly subscription tiers (Solo, Studio, Group). Pricing is shown on the pricing page.
- Trials. New accounts include a free trial period as advertised at signup. We may change or end trials at any time.
- Auto-renewal. Subscriptions auto-renew at the end of each billing cycle until cancelled. You can cancel at any time from the dashboard or by emailing billing@businessbot.us.
- Pass-through costs. Some channels (SMS, WhatsApp) carry per-message costs charged by carriers. These pass-through fees are billed in addition to your subscription and are non-refundable once consumed.
- Refunds. Subscription fees are non-refundable except where required by law. We may, at our sole discretion, issue prorated refunds for service outages or other extenuating circumstances.
- Taxes. Prices are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, or similar taxes on your purchase.
- Late payment. We may suspend the Service if a payment is more than 14 days overdue.
6. Customer data
You retain all rights in the data you and your end customers submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and analyze Customer Data solely to provide and improve the Service, prevent abuse, and meet legal obligations.
You represent that you have the rights and consents necessary to submit Customer Data to the Service and that doing so does not violate any law or third-party right.
We will not sell your Customer Data, and we will not use end-customer conversation content to train AI models. See the Privacy Policy for details on processing.
7. Third-party services
The Service integrates with third-party services — including Twilio, Telnyx, Meta (WhatsApp), Google (Calendar, Business Profile), Stripe, and others — under their own terms. Your use of those services is at your own risk and is governed by their terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of any third-party service.
8. Intellectual property
The Service, including all software, designs, logos, copy, and documentation, is owned by BizBot and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business in accordance with these Terms. No other rights are granted by implication or otherwise.
9. Feedback
If you send us suggestions, ideas, or feedback, we may use them without restriction or compensation. You waive any moral rights and warrant that the feedback does not infringe any third-party rights.
10. Suspension & termination
You may cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that exposes us, your customers, or our other customers to harm. We will give you notice when reasonable.
On termination, your right to use the Service ends. We will retain Customer Data for 30 days after termination to allow export, and then delete it as described in the Privacy Policy. Sections that by their nature should survive termination — including data ownership, IP, disclaimers, limitations of liability, indemnity, and dispute resolution — will survive.
11. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, BIZBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZBOT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
13. Indemnification
You will defend, indemnify, and hold harmless BizBot and its officers, directors, employees, and agents from any claim, demand, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in breach of these Terms, (b) Customer Data, (c) your violation of any law or third-party right, or (d) any messaging activity conducted through your account.
14. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Wilmington, Delaware, and each party consents to personal jurisdiction there. Where mandatory consumer-protection law gives you stronger rights, those rights apply.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will notify account holders by email and post a notice in the dashboard at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
